Terms of Service

This English version is provided for convenience. If it differs from the Japanese version, the Japanese version prevails.

These Terms of Service (the “Terms”) set out the conditions for using voicast (the “Service”), a voice AI agent API provided by SHANNON LIMITED LIABILITY COMPANY (“we”). Companies, organizations and individuals who use the Service (“you”) agree to these Terms.

1. Scope

These Terms apply to every aspect of your use of the Service. Documentation we publish on the Service, including the pricing and billing page, forms part of these Terms.

2. Definitions

  1. “Conversation” means one exchange in which the Service’s AI talks with someone by phone or through the web or an app.
  2. “Tenant” means a unit you register on the Service for one of your customers (such as a business that uses your service).
  3. “Caller” means the person who talks with the AI in a conversation (your or a tenant’s customer, someone making an inquiry, and so on).
  4. “Conversation records” means the transcript, summary, fields the AI collected, outcome, caller’s phone number, recording and other information the Service stores about a conversation.

3. Accounts

  1. You provide true and accurate information when you register.
  2. You are responsible for your API keys, tenant connection secrets and the accounts you sign in with (email and password, passkeys, Google, GitHub and so on), and must not disclose or lend them to others. Actions taken with your API keys or connection secrets are treated as your actions.
  3. If you suspect an API key or connection secret has leaked, revoke the key or regenerate the secret in the dashboard without delay.
  4. Actions taken by members of your organization are treated as actions of that organization’s user.

4. The Service

  1. With agents you configure, the Service’s AI holds conversations with callers by phone or through the web or an app, and provides you with conversation records and outcomes through the API, webhooks and the dashboard. Conversations include speech recognition, responses generated by AI, speech synthesis, a summary after the conversation, and calls to external tools and connections you configure.
  2. Phone numbers, phone lines and call charges are not part of the Service. To use the Service by phone, you contract with a telephony provider at your own responsibility and cost and connect it to the Service.
  3. We may change the Service without notice. Changes to fees, including changes to the pricing page, are announced on the Service in advance.

5. Fees and payment

  1. Fees (the price per minute of conversation), top-up units (such as the minimum and maximum amount of one top-up), the range of auto top-up settings and other fee and payment conditions are as shown on the pricing and billing page of our website (the “pricing page”). Fees are usage-based on conversation length, with no monthly or setup fees. If you have a separate agreement with us, the per-minute price in that agreement applies.
  2. We count the seconds from when a conversation connects until it ends, and deduct “seconds × per-minute price ÷ 60” from your balance when each conversation ends. Phone and web/app conversations are counted the same way.
  3. Conversations in test environments and conversations you try in the dashboard are charged the same as live conversations. There are no free minutes.
  4. You prepay your balance (“top-ups”) by credit card through the payment processor we designate. Each top-up is within the range set on the pricing page, and you pay that amount plus consumption tax. We do not accept invoice payments or bank transfers.
  5. You can set up automatic top-ups with your saved card when your balance falls below a threshold (“auto top-up”). You set the amount, threshold and monthly limit in the dashboard, and top-ups made under those settings are treated as top-ups you requested.
  6. Each top-up expires 6 months after the day it was made. Your balance is used from the top-up that expires first, and any balance left after its expiry is forfeited.
  7. When your balance is JPY 0 or less, we do not accept new conversations. Conversations already in progress are not cut off, so your balance may fall below zero; that amount is deducted from your next top-up.
  8. Top-ups paid and expired balances are not refundable except where we are at fault.

6. Your customers and callers

  1. If you provide the Service to your customers (tenants) or build it into your own service, you are responsible for your contracts with those customers, explanations to them, their inquiries and their conduct. Conversations using a tenant’s connection secret are treated as your use.
  2. You inform callers, as required by law and the rules of your industry, that they are talking with AI, that the conversation is recorded and processed (including by external providers), and, if recording is enabled, that it is recorded, and you obtain any consent needed.
  3. For personal information in conversation records, you are the party responsible for handling it and bear the legal obligations that come with that, such as notifying or publishing the purpose of use and restricting provision to third parties. We handle conversation records on your behalf, within the scope you entrust to us, to provide the Service.
  4. You are responsible for responding to callers’ requests to disclose, correct or delete conversation records. We assist at your request within the Service’s features.

7. Conversation content

  1. We use conversation audio, transcripts and other conversation content only to provide the Service (conversations, summaries, collecting fields, showing records and sending them to you), to handle incidents and to prevent abuse. We do not use them to train machine learning models. Details are in our Privacy Policy.
  2. Conversation audio and text are sent to the external providers listed in our Privacy Policy for speech recognition, AI and speech synthesis.
  3. Conversation records other than recordings are deleted automatically 30 days after the conversation ends. You receive the records you need through the API, webhooks or the dashboard before then and keep them at your own responsibility.
  4. Recordings are made only when you enable recording for an agent, and are deleted automatically 30 days after they are stored. You can delete a recording before then.

8. AI responses

  1. The Service’s AI responses, speech recognition results, summaries, collected fields and outcome judgments may contain errors, mishearings, incomplete content or content that is not factual. We do not warrant their accuracy, completeness or fitness for a particular purpose.
  2. You set what the AI says (agent settings, instructions and knowledge) at your own responsibility, and use conversation records after checking them. If you finalize important actions such as bookings, orders or payments based on AI responses, you put confirmation steps in place on your side.
  3. You must not rely on the Service’s AI responses alone for emergency calls, medical judgments, decisions directly affecting people’s life, body or safety, or other uses where errors could have serious consequences.
  4. Results of external tools and connections the AI calls during a conversation, and the behavior of the services behind them, are a matter between you and their providers, and we are not responsible for them.

9. Prohibited conduct

When using the Service, you must not:

  1. break the law or public order, or risk doing so;
  2. infringe the privacy, portrait rights, reputation, intellectual property or other rights of others;
  3. record conversations without giving callers the required notice or obtaining the required consent;
  4. hold unwanted solicitations, fraudulent or deceptive conversations, or use the Service to impersonate real people or organizations;
  5. gain unauthorized access to our systems or anyone else’s through the Service, or use the Service to attack others;
  6. place excessive load on our servers or network, circumvent the Service’s limits, or reverse engineer the Service;
  7. resell all or part of the Service as is to third parties without our permission (building it into your own service and providing it to tenants is allowed);
  8. do anything else we reasonably consider inappropriate.

10. Suspension

  1. We may suspend all or part of the Service without notice for maintenance, incidents, outages at external providers, natural disasters or other unavoidable reasons.
  2. If you breach these Terms, or we consider you may do so, we may suspend all or part of your account, organization, API keys or tenants.

11. Ending use and deleting data

  1. There is no monthly contract. You can stop using the Service at any time by stopping top-ups and auto top-ups. Your balance is not refunded when you stop.
  2. You can delete agents, tenants, recordings and API keys at any time in the dashboard or through the API. You can delete projects, organizations and your account in the dashboard.
  3. When an organization, project or account is deleted, we delete the conversation records, settings and other data that belong to it. Billing and balance records (which we must keep for accounting and tax purposes) and other records we must keep by law are kept for as long as required. If you have questions about deletion, contact us.

12. Disclaimer

  1. The Service is provided as is. We do not warrant that it fits your particular purpose, that it runs without interruption, or that external providers (including telephony providers, AI providers and payment processors) continue to provide their services.
  2. Except in cases of our willful misconduct or gross negligence, our liability to you is limited to the fees deducted from your balance in the month in which the conversation that caused the damage took place.
  3. We are not responsible for disputes between you and third parties, including tenants, callers and providers of tools and connections.

13. Changes to these Terms

We may change these Terms when we consider it necessary, in accordance with the provisions of the Civil Code of Japan on changes to standard terms. Changes apply from the effective date posted on the Service. We also notify registered email addresses of material changes.

14. Governing law and jurisdiction

These Terms are governed by the laws of Japan. The Tokyo District Court has exclusive jurisdiction in the first instance over any dispute about the Service.

These Terms take effect on October 5, 2026.
